TIER IV Group Code of Conduct


Preamble

This TIER IV Group Code of Conduct (hereinafter referred to as "CoC") articulates the fundamental principles that all TIER IV and its subsidiaries (collectively referred to as "TIER IV") officers and employees must uphold. It serves as a guideline for implementing TIER IV's mission, vision, and core values through specific conduct.
All TIER IV officers and employees commit to adhering to this CoC and conducting their work with high ethical standards and integrity.
The CoC will be updated from time to time to reflect changes in social circumstances, TIER IV's business activities, and the implementation status of the CoC.

1. Contribution to Society

TIER IV democratizes autonomous driving technology through the development of "Autoware," the world's first open-source autonomous driving operating system , building an ecosystem that supports various organizations and individuals to contribute to the advancement of autonomous driving technology. We strive to realize a society where people around the world can enjoy enriched lifestyles through new time and space made possible by autonomous driving technology.

2. Respect for Human Rights, Diversity, and Inclusion

TIER IV respects the fundamental human rights of all individuals and does not tolerate any form of discrimination, actions that undermine personal dignity, or harassment. We respect the diversity of our colleagues, stakeholders, and all members of society. By respecting, understanding, and inspiring each other's individuality, we boldly create new social value.

3. Commitment to Compliance, Ethics, and Social Legitimacy and Promotion of Governance

TIER IV operates with high ethical standards and integrity to being a trusted company. We comply with applicable laws and regulations in all countries and regions where we conduct business.
We are dedicated to addressing the ethical, legal, and social issues (ELSI) associated with the development, social implementation, and dissemination of autonomous driving technology. We actively contribute to the creation of new value and proactively propose the formation of standards and norms in this field.
To ensure the effective implementation and continuous improvement of these initiatives, TIER IV endeavors to establish an appropriate governance structure.
We encourage our stakeholders to act in accordance with this CoC to promote fair and free competition in corporate activities.

4. Safety and Quality

As a company proud of its autonomous driving technology, TIER IV spares no effort to continuously provide safe and reliable products and services to clients and society as a whole.
We actively stay informed of domestic and international industry standards and rule-making trends related to relevant technologies, including autonomous driving technology, security, AI technology, and data handling. We remain dedicated to improving quality and actively identifying and mitigating potential risks.
TIER IV responds promptly, sincerely, and transparently to any issues that arise. Through open communication with stakeholders, we promote a continuous improvement process, striving to maintain and enhance trust.

5. Commitment to Sustainability

TIER IV contributes to the realization of a sustainable society through autonomous driving technology. We promote green transformation by enhancing the efficiency and facilitating the widespread adoption of autonomous driving technology, thereby striving to reduce environmental impact. Furthermore, we foster continuous innovation through an open technology development ecosystem.

6. Maintaining Business Integrity

TIER IV upholds business integrity and fosters trust with all stakeholders by adhering to the following principles:

  • Financial Integrity: We ensure accurate and transparent financial reporting and properly record all transactions.
  • Fair Dealings: We consistently provide accurate and truthful information about our products and services, and uphold the principles of fair and free competition.
  • No Ties with Anti-Social Forces: We maintain no relationships with anti-social forces.
  • Avoiding Conflicts of Interest: We avoid situations where personal interests conflict with company interests and always act in the best interest of the company.
  • Transparency in Political Activities and Donations: Political activities, political contributions, and donations are conducted in compliance with relevant laws and regulations, with clear purposes and social significance.
  • Healthy Relationships with Stakeholders: We maintain healthy and transparent relationships with all stakeholders, including public officials.

7. Protection of Corporate Assets, Information and Rights

TIER IV properly manages company assets and appropriately handles confidential information, personal information, and undisclosed information related to corporate activities and transactions.
We actively protect and utilize our intellectual property rights while respecting the legitimate intellectual property rights of third parties.

8. Implementation of the CoC

TIER IV values integrity and transparency and responds appropriately and promptly to actions or concerns that violate the CoC. TIER IV supports and protects employees who report questions or concerns related to the CoC. We do not tolerate any form of retaliation or unfavorable treatment against employees who make reports, seek consultation, or cooperate with investigations.
Violations of the CoC may be subject to disciplinary action. Retaliatory actions against reporters or investigation cooperators will be subject to disciplinary action.
TIER IV fosters a culture of open communication and mutual trust, supporting all employees in practicing the values of the CoC in their daily work. Through continuous education and dialogue, we consistently raise awareness about the importance of ethical behavior and strive to create a better company and society.
